Before you start
IPIM's formation procedure covers admissibility of the trade name, constitution documents, company registration and commencement reporting. DSF's legal-entity M/1 service specifies declaration 30 days before the expected commencement date with company and relevant personnel documents. Business-tax registration does not exempt administrative licensing. A Hong Kong company or Hong Kong identity should not be presented as automatic permission to carry out every activity or work in Macao.
What to do, step by step
- Define whether the Macao operation will provide retail, services, food or trade and ask IPIM's one-stop service about the suitable company procedure. Settle shareholders, administrators, ownership and authority first. Explain any Hong Kong parent company so required supporting documents can be identified accurately.
- Follow the official process for name admissibility, constitution and notarial or certification arrangements. Confirm document validity and registration sequence. Ask directly about language versions rather than assuming an English Hong Kong document can be submitted unchanged, or ordering translations that the authority does not require.
- Prepare the copies, identity and authority evidence for the legal-entity M/1 commencement declaration and submit according to the lead time before opening. Check DSF's requirements and current tax arrangements. Save acknowledgements and registration particulars, distinguishing application acceptance from completion of every operational requirement.
- Separately check premises licences, use, employee and operator work permission, banking and local reporting. Publish an opening date only after establishing the applicable requirements can be completed. Keep cross-border goods and funds records separately so the Hong Kong and Macao operations can be explained and reconciled.
Costs, timing, and things to check
Business tax, other tax reporting, social security and administrative licences are different matters. Even where a current exemption or concession may apply, verify registration and reporting duties first. An expectation that little or no tax is payable should not become a reason to skip required procedures.
Request an itemised adviser quotation for official charges, notarial work, translation, address and continuing services. Distinguish company operation from residence and work arrangements. A formation package does not establish that a founder or employee has received immigration or employment authorisation.
A practical example
A Hong Kong craft shop proposes a Taipa branch offering retail and small workshops. It describes both activities to IPIM and prepares the local company and M/1 route. Lease terms, workshop permissions and authorisation for assigned staff are checked separately. Budgets remain identifiable by jurisdiction, and the opening date awaits the relevant confirmations instead of accepting Macao bookings simply because the Hong Kong company already exists.
